Terms of Service

1. Acceptance of Terms

By accessing or using ShowRunner (the "Service"), provided by HomeAxs ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

ShowRunner is a platform that connects real estate professionals ("Realtors") with independent contractors ("Contractors") who provide property showing services. The Service facilitates:

• Job posting and acceptance for property showings
• Communication between Realtors and Contractors
• Scheduling and coordination of showings
• Photo documentation of properties
• Payment processing for completed services

HomeAxs acts solely as a platform provider and is not a party to the agreements between Realtors and Contractors.

3. Eligibility

To use ShowRunner, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain a valid email address and phone number

3.1 For Realtors

• Hold a valid real estate license in your operating jurisdiction
• Be authorized to arrange property showings for listed properties
• Comply with all applicable real estate laws and regulations

3.2 For Contractors

• Pass any required background checks
• Maintain appropriate insurance coverage
• Have reliable transportation and a smartphone
• Present professionally when conducting showings

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Keeping your profile information accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Independent Contractor Relationship

Contractors using ShowRunner are independent contractors, not employees of HomeAxs or Realtors. As an independent contractor, you:

• Control how, when, and where you work
• Are responsible for your own taxes and business expenses
• Are not entitled to employee benefits
• May work for other platforms or clients
• Must maintain your own insurance coverage

HomeAxs does not control the manner or method of service delivery and makes no guarantees regarding the availability or quality of Contractors or jobs.

6. Job Posting and Acceptance

6.1 For Realtors

• Provide accurate property information and showing instructions
• Ensure access information (lockbox codes, keys) is correct
• Respond promptly to Contractor communications
• Pay for completed services in a timely manner

6.2 For Contractors

• Only accept jobs you can reliably complete
• Arrive on time and conduct showings professionally
• Follow all property access instructions carefully
• Document job completion with photos as required
• Maintain confidentiality of property access information

7. Cancellation Policy

Realtors may cancel (revoke) a job before the Contractor arrives. Repeated cancellations may result in account restrictions.

Contractors may release an accepted job if they cannot complete it. Excessive releases will negatively impact your standing and may result in account suspension.

Once a job is marked as "Started," cancellation may result in partial payment obligations.

8. Payments and Fees

• Job payouts are determined by the Realtor when posting
• HomeAxs may deduct a service fee from transactions
• Contractors receive payment after job completion verification
• Payment processing times may vary by payment method
• All fees are in US dollars unless otherwise specified

Disputes regarding payments should be reported within 7 days of the transaction.

9. Prohibited Conduct

You agree NOT to:

• Violate any applicable laws or regulations
• Provide false or misleading information
• Harass, threaten, or discriminate against other users
• Access properties beyond authorized showing times
• Share lockbox codes or access information with unauthorized parties
• Circumvent the platform to avoid fees
• Use the Service for any illegal purpose
• Interfere with the proper functioning of the Service
• Create multiple accounts or impersonate others
• Scrape, mine, or collect user data

10. Property Access and Security

Contractors granted access to properties must:

• Use access information solely for authorized showings
• Never share lockbox codes or keys with anyone
• Secure the property after each showing (lock doors, close windows)
• Report any security concerns immediately
• Not remove any items from properties

Misuse of property access information may result in immediate termination and legal action.

11. Intellectual Property

The ShowRunner name, logo, and all related content are owned by HomeAxs. You may not use our trademarks without written permission.

By uploading photos or content to the Service, you grant HomeAxs a non-exclusive license to use, display, and distribute that content for Service-related purposes.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Contractors or Realtors will meet your expectations
• Any information provided through the Service is accurate
• Results from using the Service will be satisfactory

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMEAXS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Actions or omissions of Contractors or Realtors
• Property damage or personal injury during showings
• Unauthorized access to or alteration of your data

Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless HomeAxs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your interactions with other users

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Clark County, Nevada.

You agree to waive any right to participate in class action lawsuits against HomeAxs.

16. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• Outstanding payments will be processed according to our policies
• We may retain certain data as required by law

You may terminate your account at any time by contacting support.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict of law principles.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HomeAxs regarding the use of ShowRunner.
